6. AI-Generated Outputs and Cost Data Disclaimer

The Services may generate automated outputs, including cost estimates, quantity calculations, pricing suggestions, and other project-related information based on artificial intelligence models, generalized industry data, and user-provided inputs.

Such outputs are automated informational tools only and may contain inaccuracies, omissions, or assumptions that do not reflect actual project conditions.

Baseline pricing, cost references, or estimating data provided within the Services are generalized industry benchmarks and may not reflect current market conditions, regional cost variations, supplier pricing, labor availability, or project-specific requirements.

Users acknowledge that construction costs vary significantly based on geographic location, contractor relationships, project complexity, market conditions, and numerous other factors.

Accordingly, all outputs generated by the Services must be independently reviewed, verified, and adjusted by the user before being relied upon for bidding, budgeting, contracting, or project planning purposes.

7. AI Output Limitations

The Services may utilize artificial intelligence models to generate estimating outputs. AI-generated outputs may contain errors, omissions, or incomplete information. Users acknowledge that artificial intelligence systems are inherently probabilistic and may produce results that require human review and validation. Users agree not to rely solely on automated outputs without appropriate professional judgment and verification.

8. User Pricing Responsibility

Users may input, modify, or maintain their own pricing data, including material costs, labor rates, subcontractor pricing, and other cost assumptions within the Services. SiteBid does not verify, audit, or validate any pricing information entered or modified by users. Users are solely responsible for the accuracy, completeness, and appropriateness of all pricing data used in generating estimates through the Services. Any estimates generated using user-supplied pricing data are the sole responsibility of the user.

9. Data Accuracy and Market Variability

Construction pricing, labor productivity, and material costs fluctuate due to market conditions, supply chain factors, geographic variations, and project-specific requirements. SiteBid does not guarantee that any pricing references, cost data, or calculations generated through the Services reflect real-time market pricing or contractor-specific costs.

Users acknowledge that the Services cannot account for all variables affecting project pricing, including but not limited to: subcontractor bids, site conditions, permitting requirements, labor shortages, material availability, regional pricing variations, and project schedule impacts.

Users remain solely responsible for verifying all costs before submitting bids or entering contractual commitments.

10. Exported Estimate Disclaimer

Every estimate exported, printed, or shared from the Services includes a footer disclaimer. The exported estimate is an automated calculation generated from user-provided inputs, baseline pricing references, and estimating assumptions within the platform. All quantities, labor assumptions, and pricing must be independently reviewed and verified by the contractor prior to submitting bids, proposals, or contractual commitments. SiteBid does not guarantee the accuracy, completeness, or suitability of any estimate and assumes no responsibility for financial outcomes resulting from reliance on the estimate.

11. In-App Estimate Warning

Estimates displayed within the Services include a visible notice reminding users that the estimate is generated automatically based on project inputs and pricing assumptions. Contractors must independently review and verify all quantities, labor assumptions, and pricing before submitting bids or entering contracts. This notice does not limit or modify any other disclaimers or limitations contained in these Terms.

12. Independent Judgment and No Reliance

Users acknowledge that the Services are designed solely to provide automated estimating tools intended to assist contractors in preparing preliminary project estimates. The Services do not replace the professional judgment, expertise, or independent evaluation required in construction estimating and project bidding.

Users agree that they will exercise their own independent professional judgment when reviewing and utilizing any estimates, calculations, pricing assumptions, or other outputs generated by the Services. Estimates produced by SiteBid reflect the user's project inputs combined with the platform's automated calculations — the user's involvement and verification are essential parts of the estimating process.

The preparation and submission of construction bids involves numerous variables, including project scope, subcontractor pricing, site conditions, labor availability, material pricing, scheduling constraints, and contractor experience, many of which cannot be fully accounted for by automated systems.

The accuracy of estimates generated by the Services depends on the information provided by users. Users are solely responsible for ensuring that all project inputs, including quantities, measurements, pricing data, scope assumptions, and project details, are accurate and complete. SiteBid shall have no responsibility for errors resulting from inaccurate, incomplete, or incorrect information provided by users.

13. Contractor Responsibility for Bids and Contracts

Users acknowledge that the preparation and submission of construction bids is a professional activity that requires independent judgment and validation. SiteBid does not participate in project bidding, negotiation, or contractual decision-making. All bids, pricing submissions, proposals, and contractual commitments prepared using the Services are solely the responsibility of the user. Users assume full responsibility for all financial outcomes related to bids or projects prepared using the Services.

14. Third-Party Reliance Disclaimer

Outputs generated through the Services are intended solely for the internal use of the registered user preparing construction estimates. The Outputs are not intended for reliance by any third party, including project owners, developers, lenders, architects, engineers, subcontractors, or suppliers. Any third party who reviews or relies upon an estimate generated using the Services does so entirely at their own risk. SiteBid disclaims all liability to third parties for damages or losses arising from reliance on such Outputs.

15. Professional Advice Disclaimer

The Services do not provide engineering, architectural, construction management, legal, financial, or professional estimating advice. SiteBid does not act as a licensed contractor, estimator, engineer, or professional advisor. All outputs generated by the Services are informational tools designed to assist users and must not be interpreted as professional advice.

16. Subscription and Payment Terms

Access to certain features of the Services may require payment of subscription fees. By subscribing to the Services, users agree to pay all applicable subscription fees and charges associated with their account. Subscription fees are billed in advance and are non-refundable except as required by applicable law or expressly stated otherwise by SiteBid. SiteBid reserves the right to modify subscription pricing upon reasonable notice to users. Failure to maintain an active subscription may result in suspension or termination of access to certain features of the Services.

17. Intellectual Property

All software, algorithms, databases, and technology associated with the Services remain the property of SiteBid. Users receive a limited license to access and use the Services in accordance with these Terms.

18. Acceptable Use

Users may not reverse engineer the platform, misuse the Services, attempt to disrupt platform operations, or use the Services for unlawful activities. SiteBid reserves the right to suspend accounts that violate these Terms.

19. Warranty Disclaimer

The Services are provided on an "as is" and "as available" basis without warranties of any kind. SiteBid disclaims all express or implied warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs. SiteBid does not warrant that the Services will produce error-free estimates or meet a user's specific business needs.

20. Limitation of Liability

To the fullest extent permitted by law, SiteBid's total cumulative liability arising out of or relating to the Services shall not exceed the total amount paid by the user to SiteBid during the twelve (12) months preceding the event giving rise to the claim.

In no event shall SiteBid be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages including lost profits, lost contracts, lost business opportunities, project losses, cost overruns, delay damages, or reputational harm. This limitation applies even if SiteBid has been advised of the possibility of such damages.

21. Indemnification

Users agree to defend, indemnify, and hold harmless SiteBid and its officers, employees, contractors, affiliates, and licensors from any claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from or related to the user's use of the Services, reliance on estimates generated by the platform, bidding decisions made using the Services, contractual commitments based on platform outputs, or inaccurate data provided by the user. This indemnification expressly includes claims brought by project owners, contractors, subcontractors, suppliers, lenders, or any other third parties.

22. Termination

SiteBid may suspend or terminate access to the Services for violations of these Terms.

23. Governing Law and Arbitration

These Terms shall be governed by the laws of the State of Texas. Disputes shall be resolved through binding arbitration in Texas where permitted by law.

24. Class Action Waiver

Users agree that disputes must be brought individually and not as part of a class action.

25. Changes to Terms

SiteBid reserves the right to modify these Terms. Continued use of the Services constitutes acceptance of updated Terms.
